1. Acceptance of terms
By creating an account on carts.ng or using any part of our service, you agree to be bound by these Terms of Service ("Terms"). If you are creating an account on behalf of a business, you represent that you have authority to bind that business to these Terms.
If you do not agree to these Terms, do not use carts.ng.
2. The service
carts.ng ("we", "us", "our") provides an e-commerce platform that allows sellers to create online storefronts, list products, receive orders, and manage their business. We are incorporated in Nigeria and our services are primarily designed for the Nigerian market.
We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.
3. Accounts
You must be at least 18 years old to create an account. By creating an account you confirm that you meet this requirement.
You are responsible for keeping your login credentials secure. You are responsible for all activity that occurs under your account. If you suspect unauthorised access, contact us immediately at hello@carts.ng.
You may not create more than one account per person unless we have expressly permitted it.
4. Your store
Your store handle (the part after carts.ng/) is yours for as long as your account is active and in good standing. We reserve the right to reclaim handles that are inactive for more than 12 months, or that infringe on trademarks or are otherwise harmful.
You are responsible for everything published in your store — products, descriptions, images, and policies communicated to your customers.
5. Your content
You retain ownership of all content you upload to carts.ng (product photos, descriptions, store branding). By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to store, display, and transmit that content as necessary to provide the service.
We do not sell or share your content with third parties for their own commercial purposes.
You warrant that:
- You own the content you upload, or have permission to use it
- Your content does not infringe the intellectual property rights of others
- Your content does not violate any applicable laws
6. Prohibited conduct
You may not use carts.ng to:
- Sell counterfeit, stolen, or infringing goods
- Sell weapons, drugs, or other illegal products
- Sell products that are hazardous without proper disclosure
- Engage in fraud or misrepresent your products to customers
- Harass, abuse, or threaten other users
- Attempt to gain unauthorised access to our systems
- Use automated tools to scrape or extract data without our permission
- Violate any applicable Nigerian or international laws
We may suspend or terminate accounts that violate these prohibitions, and we may report illegal activity to appropriate authorities.
7. Payments between sellers and buyers
carts.ng does not currently process payments. Our platform facilitates order placement and communication between sellers and buyers. Payment arrangements are made directly between you and your customers. You are responsible for collecting payment, handling disputes, and issuing refunds according to your own store policy.
We strongly recommend that you state your payment and refund policy clearly on your store so that customers know what to expect.
8. Fees
The free plan of carts.ng is provided at no cost. We do not charge transaction fees or commission on sales made through the platform.
If we introduce paid plans in the future, we will provide at least 30 days' advance notice and you will not be charged unless you explicitly choose to upgrade.
9. Intellectual property
The carts.ng platform, branding, software, and design are owned by us and protected by Nigerian and international intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the platform without our prior written consent.
10. Termination
You may delete your account at any time from Settings. Upon deletion, your store will be taken offline and your data will be removed in accordance with our Privacy Policy.
We may suspend or terminate your account if you violate these Terms, engage in conduct harmful to other users or the platform, or if required to do so by law. Where possible, we will give you notice and an opportunity to remedy the issue before termination.
On termination, you may export your product catalogue and order history for up to 30 days before your data is deleted.
11. Disclaimers
carts.ng is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or free of viruses. We do not warrant that the service will meet your specific requirements.
We are not a party to transactions between sellers and buyers. We do not guarantee the quality, legality, or accuracy of listings, or the ability of sellers to sell items or buyers to pay for them.
12. Limitation of liability
To the maximum extent permitted by Nigerian law, carts.ng and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
Our total liability to you for any claim arising from these Terms or your use of the service will not exceed the amount you have paid us in the 12 months preceding the claim (which may be zero if you are on the free plan).
13. Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved informally will be submitted to the jurisdiction of the Federal High Court of Nigeria.
Before commencing any formal dispute process, you agree to contact us at hello@carts.ng and give us 30 days to attempt to resolve the issue.
14. Changes to these terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, where the changes are material, send you an email notification.
Your continued use of carts.ng after changes take effect constitutes your acceptance of the updated Terms.
